Terms of Service

1. Parties & acceptance

These Terms of Service (“Terms”) form a binding legal agreement between you and Alchemist Supply Company LLC, doing business as “Alchemist Supply Co.” (“ASC,” “the Company,” “we,” “us,” or “our”). By accessing this site, creating an account, placing an order, or clicking any button labeled “I acknowledge,” “Agree,” “Submit order,” or similar, you affirmatively accept these Terms, our Research Use Policy, our Privacy Policy, and our Refund Policy in full. If you do not agree to every provision, you must not use this site or purchase any product.

2. What we sell & what we do not do

All products sold by ASC are chemical reference materials intended solely for in-vitro laboratory research use by qualified researchers and institutions. They are not drugs, biologics, medical devices, food, cosmetics, or dietary supplements; are not approved, cleared, or registered by the U.S. Food and Drug Administration, DEA, or any other regulator; and have not been evaluated for safety, purity, potency, or efficacy for use in or on humans or animals. ASC does not manufacture, compound, prescribe, dispense, or provide medical treatment of any kind. ASC does not provide, and you agree not to request, human or animal dosing information, reconstitution instructions for administration, injection technique, or any other guidance that could facilitate use in or on a living person or animal. Any information that appears on this site, in customer support communications, or in any accompanying documentation is provided solely for laboratory reference and record-keeping purposes, is not medical, health, or dosing advice, and must not be relied upon as such.

3. Eligibility & representations

By purchasing from ASC, you represent and warrant, as a condition of the sale, that:

  • You are at least 21 years of age and legally competent to enter a binding contract in your jurisdiction.
  • You are a qualified researcher, or you represent a licensed research institution, laboratory, or business with a legitimate research or analytical purpose.
  • You are purchasing solely for in-vitro laboratory research, analytical, or reference use, and for no other purpose.
  • You will not administer, inject, ingest, apply, or otherwise introduce any product into or onto any human or animal body, by yourself or through any third party, under any circumstance, including in a manner inconsistent with, or contrary to, ASC’s express prohibition against human or animal use.
  • You will not resell, redistribute, repackage, or relabel any product for human or animal administration, and will not represent any product as a drug, food, dietary supplement, or approved medicine to any third party.
  • You possess, or will obtain, all licenses, permits, and authorizations required by applicable law to purchase, possess, handle, store, and dispose of the products you order.
  • Any information you provide to ASC (identity, institutional affiliation, shipping address, order details) is true, current, and not misleading.

ASC relies on these representations in agreeing to sell to you. A false representation is a material breach of these Terms and independently supports the indemnification and liability limitations below regardless of how the product is later used.

4. Account & security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use. We may suspend or terminate any account, at any time and without notice, for suspected violation of these Terms, the Research Use Policy, or applicable law.

5. Orders, pricing, and inventory

Prices, descriptions, and inventory shown on this site are indicative and may change or contain errors. We reserve the right, in our sole discretion and without liability, to limit quantities; to refuse, cancel, or terminate any order or account, including after acceptance or shipment; and to correct pricing or listing errors at any time. If a product becomes unavailable, or an order is cancelled by us, after payment is collected but before it ships, we will refund the affected amount as your sole and exclusive remedy. Payment is collected online at checkout through Stripe, our third-party payment processor; ASC does not receive or store your full card number. If Stripe payment processing is unavailable, we may instead confirm your order and arrange payment separately before it ships.

6. Subscriptions (Monthly Research Kits)

Subscriptions renew automatically at the interval and price then in effect until you pause or cancel. You may pause, modify, or cancel at any time through your account or by contacting us; changes made before the next billing/production date apply to that upcoming shipment, and changes made after apply to the following one. Prepaid cycles are non-refundable once the corresponding production run has entered fulfillment, except as stated in the Refund Policy.

7. Made-to-order production & lead times

Items not currently in stock are produced and tested to order. Stated lead times are estimates, not guarantees; delays caused by suppliers, carriers, testing laboratories, customs, weather, or events beyond our reasonable control do not entitle you to cancellation, refund, or damages beyond a refund of amounts paid for the delayed items, at our option.

8. Shipping, title, and risk of loss

Title to, and risk of loss for, all products passes to you upon delivery of the product to the carrier. ASC is not responsible for delays, loss, or damage caused by the carrier once tendered for shipment, except as expressly provided in the Refund Policy. Products are sealed research materials and are not returnable once shipped, except as set out in the Refund Policy.

9. Prohibited uses

You agree that you will not, and will not permit or assist any third party to:

  • Administer, inject, ingest, or otherwise use any product in or on any human or animal, or facilitate such use by another person, including any use that deviates from, exceeds, or is contrary to ASC’s express research-only restriction, warnings, or any recommendation ASC has made.
  • Resell, distribute, or represent any product as approved, safe, or intended for human or animal use, diagnosis, treatment, cure, or prevention of any disease or condition.
  • Reverse engineer, circumvent, or interfere with the site, its security, or its ordering, inventory, or fulfillment systems.
  • Use the site or any product in violation of any applicable federal, state, local, or international law or regulation, including controlled-substance, import/export, and analog-substance laws.
  • Provide false information to obtain a product, evade age or eligibility screening, or circumvent order quantity limits.

10. Assumption of risk & release

Chemical reference materials sold by ASC have not been evaluated for safety in humans or animals and may be hazardous if misused, including if ingested, injected, inhaled, or otherwise introduced into or onto a living body, in any amount or manner, including any amount or manner different from what you believe to be a customary, recommended, or “proper” dose, and regardless of any general reference information that may appear anywhere on this site or in any communication from ASC. You expressly assume all risk of any use of any product other than sealed, in-vitro laboratory reference use, including any decision by you or any third party to self-administer, mis-dose, combine with other substances, or otherwise use a product in a manner ASC has expressly prohibited. To the maximum extent permitted by law, you release ASC and its owners, members, officers, employees, contractors, and agents from any and all claims, demands, and liabilities of any kind arising from any such use, whether based on negligence or otherwise.

11. Indemnification

You agree to defend, indemnify, and hold harmless ASC and its owners, members, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms, the Research Use Policy, or any representation you made to us; (b) your, or any third party’s, use, misuse, administration, resale, or handling of any product, including any use in or on a human or animal or any use inconsistent with product warnings or ASC’s instructions; (c) your violation of any law or regulation; or (d) your negligence or willful misconduct. This obligation survives termination of your account and these Terms.

12. Disclaimer of warranties

Products and this site are provided “as is” and “as available,” without warranty of any kind. To the maximum extent permitted by law, ASC disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. ASC does not warrant that the site will be uninterrupted, secure, or error-free, or that any product will meet your requirements.

13. Limitation of liability

To the maximum extent permitted by law: (a) ASC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or any product, even if advised of the possibility of such damages; and (b) ASC’s aggregate liability for any and all claims arising out of or related to these Terms or any product shall not exceed the amount you actually paid ASC for the specific product giving rise to the claim in the twelve (12) months preceding the claim. These limitations apply regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if a remedy fails its essential purpose.

14. Force majeure

ASC is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disaster, pandemic, war, terrorism, labor dispute, carrier delay, supplier failure, laboratory testing delay, government action, or internet or utility failure.

15. Governing law & dispute resolution

These Terms are governed by the laws of the state in which Alchemist Supply Company LLC is organized, without regard to conflict-of-law principles, and without regard to the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising out of or related to these Terms or any product shall be resolved by binding, individual arbitration, and you and ASC each waive any right to a jury trial or to participate in a class, collective, or representative action. Counsel should confirm the specific arbitral forum, venue, and any small-claims carve-out before this clause is relied upon.

16. Severability, waiver, and entire agreement

If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. ASC’s failure to enforce any provision is not a waiver of that or any other provision. These Terms, together with the Research Use Policy, Privacy Policy, and Refund Policy, constitute the entire agreement between you and ASC regarding your use of the site and purchase of products, and supersede any prior agreements.

17. Changes

We may update these Terms at any time by posting the revised version with a new “Last updated” date. Continued use of the site or a further purchase after an update constitutes your acceptance of the revised Terms.
